Terms of Service

These Terms govern your access to and use of Ideario.

1. Introduction

1.1 Scope

Welcome to Ideario. These Terms of Service ("Terms") are an agreement between you and iVision Studios, operating Ideario ("Ideario," "we," "our," or "us").

These Terms govern your access to and use of:

  1. ideario.io, its subdomains, and any website where these Terms are posted;
  2. the Ideario software platform, applications, dashboards, APIs, AI-assisted features, integrations, and related services;
  3. any current or future features, including Living Documents, boards, lenses, exports, sharing features, collaboration tools, uploads, APIs, MCP integrations, and subscription services.

Together, these are referred to as the "Service."

By creating an account, accessing Ideario, using Ideario, subscribing to a paid plan, clicking "Sign Up," "Subscribe," "Continue," or a similar button, or otherwise indicating acceptance electronically, you agree to these Terms.

If you do not agree, do not use the Service.

1.2 Read These Terms Carefully

These Terms affect your legal rights.

They include important provisions regarding:

  • automatic subscription renewals;
  • billing and cancellation;
  • acceptable use;
  • AI-generated outputs;
  • user content;
  • fair use and usage limits;
  • arbitration;
  • class action waiver;
  • limitation of liability.

By using Ideario, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy.

1.3 Eligibility

You must be at least eighteen (18) years old to use Ideario or purchase a subscription.

By using the Service, you represent that:

  • you are at least 18 years old;
  • you can legally enter into a binding agreement;
  • you will comply with these Terms;
  • you are not barred from using the Service under applicable law.

We may refuse access to anyone previously removed, suspended, or terminated from the Service.

2. Organizations and Business Use

If you use Ideario on behalf of a company, organization, employer, client, or other entity ("Organization"), you represent that you have authority to bind that Organization to these Terms.

If you sign up using an email address associated with an Organization, or if an Organization pays for your use, we may treat your account as associated with that Organization.

In that case:

  • these Terms apply to both you and the Organization;
  • the Organization may have rights to administer, access, manage, or control workspace-related content depending on the account configuration;
  • your access may be modified or terminated if your relationship with the Organization changes;
  • the Organization is responsible for its users' compliance with these Terms.

3. The Service

3.1 What Ideario Does

Ideario helps users capture, shape, revisit, and evolve unfinished ideas over time.

The Service may include:

  • idea capture;
  • Living Documents;
  • AI-assisted idea shaping;
  • boards;
  • lenses;
  • custom lenses;
  • exports;
  • sharing features;
  • collaboration tools;
  • uploads;
  • account settings;
  • subscription features;
  • APIs;
  • MCP integrations;
  • third-party integrations;
  • analytics and operational tools.

Ideario is an assistive software product. It is not a substitute for professional advice.

3.2 Account Access

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use Ideario for your personal or authorized business use.

You do not own your Ideario account. We may maintain different account types, subscription plans, access levels, and features.

You are responsible for:

  • your login credentials;
  • all activity under your account;
  • keeping your password secure;
  • notifying us promptly of unauthorized access.

We are not responsible for losses caused by your failure to maintain account security.

3.3 Service Changes

Ideario is evolving.

We may add, remove, suspend, modify, rename, limit, or discontinue any feature, plan, integration, lens, workflow, model, API, MCP connection, export format, or part of the Service at any time.

We may also create or change usage limits, rate limits, plan benefits, or technical restrictions.

We will try to provide reasonable notice when practical, but we are not obligated to maintain any feature indefinitely.

3.4 Trials, Beta Features, and Experimental Features

We may offer certain features as beta, preview, early access, test, trial, experimental, limited release, or similar features ("Trial Features").

Trial Features may:

  • contain bugs;
  • change without notice;
  • be discontinued;
  • produce unreliable results;
  • become unavailable;
  • affect or lose access to related content.

Trial Features are provided "as is" and without warranties, support commitments, or service-level guarantees.

4. User Content

4.1 Your Ownership

As between you and Ideario, you own the ideas, text, prompts, notes, uploads, images, files, Living Documents, exports, and other materials you submit to or create in Ideario ("User Content").

Your ideas remain yours.

4.2 License to Operate the Service

To provide the Service, you grant Ideario a worldwide, non-exclusive, royalty-free license to access, host, store, reproduce, process, transmit, display, modify, generate outputs from, and otherwise use User Content solely as necessary to:

  • provide and operate Ideario;
  • generate and display Living Documents and outputs;
  • enable sharing, exports, collaboration, and integrations you request;
  • provide support;
  • maintain security;
  • troubleshoot;
  • comply with law;
  • enforce these Terms;
  • improve, maintain, or optimize the Service consistent with our Privacy Policy.

This license does not transfer ownership of your User Content to us.

4.3 Your Responsibility for Content

You are solely responsible for your User Content and for any consequences of creating, uploading, sharing, exporting, publishing, or relying on it.

You represent that:

  • you have the rights necessary to submit User Content;
  • your User Content does not violate the law;
  • your User Content does not infringe others' rights;
  • your use of Ideario will not violate contracts, confidentiality obligations, privacy rights, or intellectual property rights.

We may remove, restrict, or deny access to User Content if we believe it violates these Terms, applicable law, platform safety rules, third-party provider requirements, or creates risk for Ideario, users, or others.

4.4 Deletion and Retention

You may delete certain User Content through the Service where available.

Deletion may not immediately remove all copies from:

  • backups;
  • logs;
  • caches;
  • security systems;
  • legal holds;
  • third-party systems;
  • operational archives.

We are not responsible for preserving User Content permanently. You should maintain your own backups of important material.

5. Public Sharing, Collaboration, and Exports

Ideario may allow you to share, export, publish, collaborate on, or distribute Living Documents, outputs, or other User Content.

If you use these features:

  • you are responsible for what you share;
  • shared content may be accessed, copied, stored, or redistributed by others;
  • we cannot control what third parties do with content after you share it;
  • you are responsible for obtaining permission from anyone whose rights may be affected;
  • you are responsible for ensuring shared content does not violate laws or third-party rights.

Ideario is not responsible for public disclosure, misuse, or consequences arising from your decision to share or export User Content.

6. AI-Assisted Features

6.1 AI Features

Ideario may use artificial intelligence, machine learning, large language models, or third-party AI providers to provide features such as:

  • idea shaping;
  • lenses;
  • summaries;
  • generated sections;
  • suggestions;
  • categorization;
  • custom perspectives;
  • exports;
  • search;
  • rewriting;
  • organization;
  • future API/MCP functions.

6.2 Input and Output

You may provide prompts, text, files, notes, ideas, or other information to AI features ("Input") and receive generated text, suggestions, summaries, analysis, or other material ("Output").

Input and Output are part of your User Content, subject to these Terms.

6.3 AI Limitations

AI Output may be:

  • inaccurate;
  • incomplete;
  • outdated;
  • misleading;
  • offensive;
  • repetitive;
  • not unique;
  • similar to outputs generated for others;
  • unsuitable for your intended use.

You should independently review and verify Output before relying on it.

Ideario does not guarantee:

  • factual accuracy;
  • originality;
  • legal suitability;
  • business viability;
  • professional correctness;
  • safety;
  • completeness;
  • any specific outcome.

6.4 Not Professional Advice

Ideario does not provide legal, financial, tax, medical, mental health, investment, safety, compliance, or professional advice.

Any Output that appears to discuss those topics is for informational and creative assistance only.

You are responsible for consulting qualified professionals before relying on Output for serious, regulated, financial, legal, medical, or safety-related decisions.

6.5 Third-Party AI Providers

Ideario may use third-party AI providers and infrastructure providers to operate AI features.

Those providers may process Input, Output, metadata, or usage data as necessary to provide, secure, monitor, or improve their services, subject to their own terms and policies.

We may change providers, models, infrastructure, or technical systems at any time.

6.6 AI Training

Unless we expressly say otherwise or obtain your consent, we do not intentionally use your private User Content to train Ideario-branded public foundation models.

However, User Content may be processed by third-party AI providers as necessary to provide the Service. Details will be described in our Privacy Policy.

7. Acceptable Use

You agree not to misuse Ideario.

You may not, and may not assist others to:

  1. violate any law, regulation, contract, or third-party right;
  2. infringe intellectual property, privacy, publicity, confidentiality, or other rights;
  3. upload unlawful, harmful, abusive, defamatory, fraudulent, deceptive, obscene, harassing, hateful, violent, or exploitative content;
  4. use the Service for phishing, scams, impersonation, fraud, spam, or deception;
  5. distribute malware, viruses, malicious code, or harmful software;
  6. interfere with, disrupt, overload, or degrade the Service;
  7. access the Service using automated means without authorization;
  8. scrape, crawl, harvest, mine, copy, or extract data at scale;
  9. reverse engineer, decompile, disassemble, or attempt to derive source code;
  10. bypass authentication, access controls, rate limits, usage limits, paywalls, or security measures;
  11. share login credentials improperly;
  12. resell, sublicense, rent, lease, or commercially exploit the Service without permission;
  13. use Ideario to build, benchmark, or train competing products or models without authorization;
  14. use Ideario as an unauthorized backend, API substitute, automation engine, or bulk generation system;
  15. submit payment card data, passwords, authentication secrets, private keys, or sensitive credentials into ordinary idea fields;
  16. submit protected health information, regulated medical information, classified data, export-controlled data, or other sensitive regulated data unless we expressly support that use in writing;
  17. submit children's personal information or content requiring parental consent;
  18. use the Service for weapons development, biological, chemical, nuclear, radiological, or other high-risk harmful activity;
  19. use Output for fully automated decisions affecting legal rights, employment, credit, housing, insurance, education, healthcare, or safety without proper human review and lawful basis;
  20. use the Service in safety-critical or hazardous environments;
  21. misrepresent AI-generated Output as human-created where disclosure is legally or ethically required;
  22. remove or obscure any watermark, metadata, or notice indicating AI involvement where present;
  23. use the Service for mass surveillance, profiling, discrimination, or human rights violations;
  24. use the Service in any way we reasonably believe creates risk, liability, abuse, instability, or harm.

We may investigate, remove content, suspend accounts, limit usage, report unlawful activity, or cooperate with law enforcement when appropriate.

8. Fair Use and Reasonable Usage

Some plans may be described using words like "unlimited."

"Unlimited" means unlimited for ordinary, reasonable human use consistent with the purpose of the Service and your subscription plan.

It does not mean unlimited:

  • automated generation;
  • bulk scraping;
  • resale;
  • account sharing;
  • machine-driven usage;
  • API-style usage through the user interface;
  • excessive storage;
  • abnormal compute consumption;
  • abusive model calls;
  • spam;
  • or usage that materially harms performance, stability, cost structure, or other users.

We may limit, throttle, review, suspend, or terminate usage that we believe exceeds reasonable use or violates these Terms.

We may also adjust plan limits, rate limits, storage limits, model access, feature access, or technical restrictions over time.

9. Subscriptions, Billing, and Payments

9.1 Subscription Plans

Ideario may offer free and paid subscription plans.

Paid plans may include access to:

  • more ideas;
  • advanced lenses;
  • custom lenses;
  • exports;
  • collaboration;
  • uploads;
  • API/MCP access;
  • additional storage;
  • premium features;
  • or other capabilities.

Plan features may change over time.

9.2 Payment Processor

We use Stripe or another third-party payment processor to process payments.

By purchasing a subscription, you authorize us and our payment processor to charge your payment method for subscription fees, taxes, and applicable charges.

Your use of payment services may also be subject to Stripe's terms.

9.3 Automatic Renewal

Subscriptions renew automatically unless canceled before the end of the current billing period.

By subscribing, you authorize recurring charges on your payment method until you cancel or we terminate the subscription.

Monthly plans renew monthly.

Yearly plans renew yearly.

9.4 Cancellation

You may cancel your subscription through account settings, the billing portal, or another method we provide.

Cancellation stops future renewals.

Unless required by law or expressly stated otherwise:

  • cancellation does not produce a prorated refund;
  • access to paid features continues until the end of the current paid period;
  • prior charges are non-refundable.

9.5 Refunds

Payments are generally non-refundable.

We may review refund requests case by case for:

  • duplicate billing;
  • accidental billing;
  • technical failure preventing access;
  • other circumstances we determine appropriate.

We do not provide refunds for:

  • unused time;
  • failure to cancel before renewal;
  • account termination for violation of these Terms;
  • abusive use;
  • dissatisfaction after substantial use;
  • promotional or discounted access unless required by law.

9.6 Failed Payments

If payment fails, we may:

  • retry billing;
  • notify you;
  • suspend paid features;
  • downgrade your account;
  • terminate access to paid services.

You remain responsible for unpaid amounts.

9.7 Taxes

You are responsible for applicable taxes, duties, levies, or similar charges, unless we are required to collect and remit them.

10. API, MCP, Integrations, and Automation

Ideario may offer APIs, MCP integrations, webhooks, plugins, or other integration features.

Unless we provide separate written API terms, these Terms apply.

You may not:

  • exceed rate limits;
  • use APIs to bypass subscription limits;
  • scrape or bulk extract data;
  • resell API access;
  • use integrations to abuse model providers;
  • introduce malware or unsafe automation;
  • misrepresent integration behavior;
  • connect third-party systems without proper rights.

We may modify, restrict, suspend, or discontinue APIs, MCP integrations, or automation features at any time.

11. Uploads and Files

Ideario may allow uploads of files, images, documents, audio, or other materials.

You are responsible for ensuring you have rights to upload and process those materials.

You agree not to upload:

  • malware;
  • unlawful material;
  • regulated sensitive data;
  • confidential information you lack authority to share;
  • third-party content without permission;
  • content that violates these Terms.

We may scan, restrict, remove, or refuse uploads for security, legal, technical, or abuse-prevention reasons.

12. Privacy and Data

Your use of Ideario is governed by our Privacy Policy.

By using Ideario, you acknowledge that your information may be collected, used, stored, transferred, and processed in the United States and other locations where we or our providers operate.

13. Security

We use reasonable administrative, technical, and organizational measures designed to protect the Service.

However, no system is perfectly secure.

We cannot guarantee that unauthorized third parties will never defeat our security measures.

You use the Service and provide User Content at your own risk.

You are responsible for:

  • using strong passwords;
  • protecting credentials;
  • maintaining device security;
  • avoiding sensitive regulated content unless supported.

14. Our Intellectual Property

Ideario, including its software, code, design, interface, visual systems, workflows, prompts, branding, marks, logos, icons, documentation, features, and underlying technology, is owned by iVision Studios or its licensors.

Except as expressly permitted, you may not:

  • copy;
  • modify;
  • distribute;
  • reverse engineer;
  • resell;
  • clone;
  • commercially exploit;
  • create derivative products from;
  • or use our intellectual property without permission.

All rights not expressly granted are reserved.

15. Feedback

If you send us ideas, suggestions, comments, requests, or feedback about Ideario, you grant us the right to use them without restriction or compensation.

We may use feedback to improve, modify, or develop the Service.

Do not submit confidential information as feedback unless we have a separate written agreement.

16. Third-Party Services

Ideario may integrate with or link to third-party services, including:

  • payment processors;
  • AI model providers;
  • authentication providers;
  • hosting providers;
  • analytics providers;
  • storage providers;
  • email providers;
  • collaboration tools;
  • APIs;
  • MCP clients or servers.

We do not control third-party services and are not responsible for their actions, availability, security, content, terms, or policies.

Your use of third-party services is at your own risk and may be governed by separate terms.

17. DMCA and Copyright Policy

We respect intellectual property rights.

If you believe content available through Ideario infringes your copyright, send a notice to:

Your notice should include:

  1. your physical or electronic signature;
  2. identification of the copyrighted work claimed to be infringed;
  3. identification of the allegedly infringing material and where it is located;
  4. your contact information;
  5. a statement that you have a good faith belief the use is not authorized;
  6. a statement under penalty of perjury that the information is accurate and that you are authorized to act for the copyright owner.

If we receive a valid notice, we may remove or disable access to the material.

If you believe material was removed by mistake, you may submit a counter-notice with the information required by the DMCA.

We may terminate repeat infringers in appropriate circumstances.

18. Confidentiality

If either party discloses non-public information that should reasonably be understood as confidential, the receiving party will use reasonable care to protect it and will use it only for purposes related to the Service or the relationship between the parties.

Confidential information does not include information that:

  • becomes public without breach;
  • was already known lawfully;
  • is received from a third party without duty of confidentiality;
  • is independently developed without use of confidential information.

We may disclose confidential information if required by law, court order, or government request, where legally permitted.

19. Publicity

Unless you are using Ideario as part of an Organization or business account, we will not publicly identify you as a customer without your consent.

For business or Organization accounts, we may identify the Organization as a customer unless the Organization asks us not to by contacting support@ideario.io.

20. Government Use

If you are a government entity, Ideario is provided as commercial software and commercial services.

Government users receive only the rights granted to other users under these Terms, except where applicable law requires otherwise.

21. Export Controls and Sanctions

You may not use Ideario if you are located in, under control of, or ordinarily resident in a country, region, or territory subject to applicable sanctions or embargoes.

You represent that you are not on any restricted party list.

You agree to comply with applicable export control, sanctions, and trade laws.

22. Termination

You may stop using Ideario at any time.

We may suspend, limit, or terminate your access if:

  • you violate these Terms;
  • payment fails;
  • your use creates risk or liability;
  • you misuse the Service;
  • your account is inactive for an extended period;
  • we discontinue the Service;
  • we are required to do so by law.

Upon termination:

  • your right to use the Service ends;
  • certain provisions of these Terms survive;
  • we may delete or retain content according to our policies and legal obligations.

23. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • RELIABILITY;
  • AVAILABILITY;
  • SECURITY;
  • AND ERROR-FREE OPERATION.

WE DO NOT WARRANT THAT:

  • THE SERVICE WILL MEET YOUR REQUIREMENTS;
  • OUTPUT WILL BE ACCURATE;
  • IDEAS WILL BECOME SUCCESSFUL;
  • CONTENT WILL BE PRESERVED PERMANENTLY;
  • THE SERVICE WILL BE UNINTERRUPTED;
  • BUGS WILL BE FIXED;
  • OR THIRD-PARTY SERVICES WILL REMAIN AVAILABLE.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IDEARIO, IVISION STUDIOS, AND OUR AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR:

  • INDIRECT DAMAGES;
  • INCIDENTAL DAMAGES;
  • SPECIAL DAMAGES;
  • CONSEQUENTIAL DAMAGES;
  • EXEMPLARY DAMAGES;
  • LOST PROFITS;
  • LOST DATA;
  • LOST BUSINESS;
  • BUSINESS INTERRUPTION;
  • LOSS OF GOODWILL;
  • RELIANCE ON AI OUTPUT;
  • UNAUTHORIZED ACCESS;
  • SERVICE INTERRUPTION;
  • OR THIRD-PARTY CONDUCT.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID TO IDEARIO IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE; OR
  2. ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

25. Indemnification

You agree to defend, indemnify, and hold harmless Ideario, iVision Studios, and our affiliates, officers, employees, contractors, suppliers, and licensors from claims, damages, liabilities, losses, costs, and expenses, including attorneys' fees, arising from:

  • your use of the Service;
  • your User Content;
  • your Output or use of Output;
  • your violation of these Terms;
  • your violation of law;
  • your violation of third-party rights;
  • your public sharing, exports, or collaborations;
  • misuse of your account;
  • your willful misconduct.

26. Informal Dispute Resolution

Before filing a claim, you agree to first contact us at legal@ideario.io and attempt to resolve the dispute informally.

The parties will have sixty (60) days to try to resolve the dispute.

27. Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY.

Except for disputes that qualify for small claims court or claims for injunctive relief related to intellectual property, security, or unauthorized access, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration on an individual basis.

The arbitration will be administered by JAMS or another mutually agreed arbitration provider under its applicable rules.

The arbitration will take place in Virginia, unless the parties agree otherwise or applicable law requires another location.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

27.1 Arbitration Opt-Out

You may opt out of this arbitration agreement within thirty (30) days after first accepting these Terms by emailing legal@ideario.io with:

  • your full name;
  • the email address associated with your account;
  • a clear statement that you opt out of arbitration.

Opting out does not affect any other part of these Terms.

28. Class Action and Jury Trial Waiver

YOU AND IDEARIO AGREE THAT CLAIMS MUST BE BROUGHT ONLY ON AN INDIVIDUAL BASIS.

YOU MAY NOT BRING CLAIMS AS A PLAINTIFF OR CLASS MEMBER IN A CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, OR PRIVATE ATTORNEY GENERAL ACTION.

YOU AND IDEARIO WAIVE THE RIGHT TO A JURY TRIAL TO THE MAXIMUM EXTENT PERMITTED BY LAW.

29. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law rules.

For claims not subject to arbitration, the courts located in Virginia will have exclusive jurisdiction, except where applicable law requires otherwise.

30. Changes to These Terms

We may update these Terms from time to time.

If changes are material, we may notify you by:

  • posting updated Terms;
  • sending email;
  • displaying notice in the Service;
  • or another reasonable method.

Your continued use of Ideario after updated Terms become effective means you accept the updated Terms.

If you do not agree, you must stop using the Service.

31. Assignment

You may not assign or transfer these Terms without our written consent.

We may assign or transfer these Terms in connection with:

  • merger;
  • acquisition;
  • sale of assets;
  • restructuring;
  • change of control;
  • operation of law;
  • or transfer of the Service.

32. Severability

If any part of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.

If a provision can be modified to make it enforceable, it will be interpreted to the maximum extent permitted by law.

33. No Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

34. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms incorporated by reference, are the entire agreement between you and Ideario regarding the Service.
